We have been appointed to recruit an Assistant Company Secretary to support the Company Secretary with the governance program and secretariat function across the Group. The successful candidate will play a crucial role in developing a culture of continuous improvement and best practice consistent with a high-performing organization in line with the Business Strategy. Please note this would an initial contract to start ideally on 3rd June, which may lead to a permanent position for the succesful candidate.
 
Your responsibilities will include:
  • Management responsibility for the delivery of the full range of corporate secretarial support across the four engines with limited supervision whilst ensuring that issues are promptly escalated to the Company Secretary.
  • Managing, coaching and providing guidance to the Company Secretarial Assistant
  • Ensuring we maintain high standards of corporate governance and compliance in accordance with statutory requirements, including the maintenance of the company books and records for the entities.
  • Development of a Co Sec working bible to include processes and templates to support best practices within the department.
  • Ensure organisational compliance with relevant Companies Act requirements and corporate governance best practice.
  • Support the Governance Framework where required in the smooth and timely operation of the Engine Boards and related Committee meetings.
  • Ensure best practice in meeting statutory requirements, maintaining corporate records and Companies House filings
  • The identification, assessment, and implementation of regulatory and legislative changes specifically those associated with corporate and compliance matters.
  • To guide and advise the Engine boards and subsidiaries in ensuring that they are operating in accordance with relevant rules and regulations and within the Company’s Governance Framework.
  • Attend, participate, and minute sub board and or committee meetings when required and ensuring these boards function efficiently and effectively.
  • Managing the registration and closure of all corporate entities, including the completion of the due diligence checklist in relation to any closures.
  • Assist with the UK consolidated audit in relation to intercompany loans, board minutes, Directors related parties, bank accounts authority letters and any other matters that may arise.
  • Review and comment on the audited UK company financial statements.
  • Where it is with your control ensure the statutory financial statements are filed on time for all UK subsidiary companies and the international construction companies
  • Management of intercompany loan agreements.
  • Overseeing all director changes, POA’s, intracompany loan agreements and dividends are captured correctly, the correct paperwork prepared and executed and the details included on Diligent.
  • Maintain and distribute internally the Group structure chart every month.
  • To reach out to third party advisors such as Baker Tilly for local Country advice when necessary.
  • Provide management support to the Company Secretarial Assistant in matters relating to banking and KYC.
  • Ad hoc projects as required.
 
 
The successful candidate should have:
  • 4+ years company secretarial experience including subsidiaries in different jurisdictions
  • Qualification from the Chartered Governance Institute UK and Ireland
  • Commercial and strategic mindset
  • Good grasp of company secretarial and corporate governance issues in the UK and internationally
  • Good grasp of the Companies Act            
  • Good verbal and written communication skills
  • Interpersonal skills and ability to work well with others and build relationships
  • Attention to detail
  • Ability to prioritise work and work well under pressure
